END USER LICENSE AGREEMENT (EULA)
This End User License Agreement ("Agreement") is a binding agreement between you ("User", "you") and Classify Incorporated ("Classify", the "Company", "we", "us"), the developer and operator of the Classedge LMS learning management system, including its web and mobile applications (the "Platform").
By accessing or using the Platform, you agree to be bound by this Agreement. If you do not agree, you must not access or use the Platform.
1. DEFINITIONS
- Platform — the Classedge LMS software, services, content, and features provided by Classify.
- Partner Institution — the educational institution or organization through which you are granted access to the Platform.
- User Content — any material you submit, upload, or create through the Platform, including assignments, submissions, messages, and feedback.
- Account — the credentials and profile issued to or created by you to access the Platform.
- User Submissions — any messages, posts, attachments, or reactions you send through interactive features of the Platform, including chat and group messaging.
2. LICENSE GRANT
Subject to your continued compliance with this Agreement, Classify grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for legitimate educational and administrative purposes in connection with your Partner Institution. No rights are granted except as expressly stated here.
3. ELIGIBILITY AND ACCOUNTS
- Access is provided to users authorized by Classify or by a Partner Institution, such as enrolled students, faculty, and staff.
- The Platform is intended for users aged 18 or older, or for minors who access it under the authorization and supervision of a Partner Institution.
- You are responsible for keeping your credentials confidential and for all activity under your Account.
- You must promptly notify us or your Partner Institution of any unauthorized use or suspected security breach.
- You must provide accurate information and keep your profile up to date.
4. ACCEPTABLE USE
You agree to use the Platform lawfully and responsibly. You must NOT:
- Access accounts, data, or areas of the Platform you are not authorized to use.
- Attempt to disrupt, damage, reverse-engineer, decompile, or gain unauthorized access to the Platform or its infrastructure.
- Copy, modify, distribute, sell, sublicense, or create derivative works of the Platform except as expressly permitted.
- Upload or transmit malware, or content that is unlawful, defamatory, obscene, harassing, or infringing.
- Engage in academic dishonesty, including cheating, plagiarism, or unauthorized sharing of assessments or answers.
- Use the Platform to collect or misuse the personal data of others.
- Share, sell, or transfer your access credentials to any other person.
- Use messaging, chat, posts, or other interactive features to harass, threaten, impersonate, or send unlawful, sexually explicit, or hateful content to any other user.
Prohibited activities may also constitute offenses under the Cybercrime Prevention Act of 2012 (Republic Act No. 10175) and other applicable laws.
5. USER CONTENT AND ACADEMIC INTEGRITY
You retain ownership of your User Content. By submitting User Content, you grant Classify and your Partner Institution a license to store, process, display, and use it as necessary to operate the Platform and to fulfill educational, assessment, and record-keeping functions. You are responsible for ensuring you have the rights to any content you submit. Classify and your Partner Institution may review, retain, or remove content in line with applicable policies and academic integrity rules.
6. USER SUBMISSIONS AND COMMUNITY CONDUCT
You retain ownership of your User Submissions. By creating User Submissions on the Platform, you grant Classify and your Partner Institution a license to host, display, and distribute them to other authorized users of the Platform solely to operate the features through which they were created.
You are responsible for the content of your User Submissions. Submissions visible to other users (including messages, group chat, and posts) must comply with the Acceptable Use rules in Section 4.
You may report objectionable content or abusive users by contacting your Partner Institution or by emailing inquiries@classify.com.ph. Classify acts on credible reports promptly, targeting action within 24 hours where feasible, and may remove content or suspend accounts pending review. Additional in-app reporting and blocking controls will be introduced as the Platform's interactive features expand.
7. AI-ASSISTED FEATURES
The Platform may offer AI-assisted features. You acknowledge that:
- AI-generated outputs may be inaccurate or incomplete and should be reviewed and verified before reliance.
- You should not submit confidential or sensitive personal information into AI features unless authorized.
- Use of AI features must comply with your Partner Institution's academic integrity rules and this Agreement.
8. INTELLECTUAL PROPERTY
The Platform, including its software, source code, design, trademarks, and content provided by Classify, is owned by Classify Incorporated or its licensors and is protected under the Intellectual Property Code of the Philippines (Republic Act No. 8293) and other laws. Except for the limited license in Section 2, no ownership or rights are transferred to you or to any Partner Institution.
9. PRIVACY
Your use of the Platform is also governed by our Privacy Policy, which describes how we collect and process personal data in accordance with the Data Privacy Act of 2012 (RA 10173). Please review it carefully.
10. THIRD-PARTY SERVICES
The Platform integrates with third-party services (for example, email, sign-in, AI, and notification providers). Your use of those services may be subject to their own terms. Classify is not responsible for third-party services beyond its reasonable control. A current list of sub-processors, with the data each one processes, is available in Appendix B of our Privacy Policy.
11. AVAILABILITY AND DISCLAIMER OF WARRANTIES
The Platform is provided on an "as is" and "as available" basis. While we strive to keep the Platform reliable and secure, we do not warrant that it will be uninterrupted, error-free, or completely secure. Access may be temporarily suspended for maintenance, upgrades, or circumstances beyond our control.
12. LIMITATION OF LIABILITY
To the fullest extent permitted by law, Classify shall not be liable for any indirect, incidental, special, or consequential damages, or for loss of data, profits, or goodwill, arising from your use of, or inability to use, the Platform. Nothing in this Agreement limits any liability that cannot be excluded under Philippine law.
13. SUSPENSION AND TERMINATION
Classify (or your Partner Institution) may suspend or terminate your access to the Platform if you violate this Agreement, applicable policies, or applicable law, or when your relationship with the Partner Institution ends, or upon termination of the service arrangement between Classify and the Partner Institution. Provisions that by their nature should survive termination (such as intellectual property, academic integrity, and limitation of liability) will continue to apply.
14. DISCIPLINE AND ACADEMIC POLICIES
Violations of this Agreement may also be addressed under your Partner Institution's student handbook, employee policies, and academic integrity rules, which may result in disciplinary or administrative action separate from the suspension of Platform access.
15. GOVERNING LAW AND VENUE
This Agreement is governed by the laws of the Republic of the Philippines. Any dispute arising from this Agreement shall be subject to the exclusive jurisdiction of the proper courts of Surallah, South Cotabato, Philippines.
16. CHANGES TO THIS AGREEMENT
We may update this Agreement from time to time. When we make material changes, we will publish the updated version on the Platform and, where appropriate, ask you to review and accept it before continuing to use the Platform. The "Effective date" and "Version" above indicate the current version.
17. ACCOUNT TERMINATION BY USER
You may request termination and deletion of your account at any time through any of the following:
- In-app: Settings → Profile → Delete Account in the Classedge mobile application.

inquiries@classify.com.ph.
Some records may be retained after account termination where required by law, by your Partner Institution's legitimate educational functions (for example, academic records, grade history, and accreditation evidence), or as part of an ongoing legal matter. Our Privacy Policy, in Appendix C, describes in detail which records are deleted, which are retained, and the timelines that apply.
18. APPLE APP STORE AND GOOGLE PLAY SPECIFIC TERMS
The following terms apply to your use of the Platform when obtained through the Apple App Store or the Google Play Store.
- This Agreement is between you and Classify Incorporated only. Apple Inc. and Google LLC are not parties to this Agreement, and neither is responsible for the Platform or its contents.
- Apple and Google have no obligation to furnish any maintenance or support services with respect to the Platform.
- If the Platform fails to conform to any applicable warranty on iOS, you may notify Apple, who will refund the purchase price of the Platform (if any) to you; to the maximum extent permitted by applicable law, Apple has no other warranty obligation whatsoever with respect to the Platform.
- Apple and Google are third-party beneficiaries of this Agreement and, upon your acceptance, each shall have the right (and shall be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary.
- You represent and warrant that (a) you are not located in a country that is subject to a US Government embargo or that has been designated by the US Government as a "terrorist supporting" country, and (b) you are not listed on any US Government list of prohibited or restricted parties.
